We believe in straightforward, clearly defined fee arrangements. Every engagement is different, but our approach to compensation is consistent: we structure fees so that our success is directly tied to yours.
BMN Capital Group works with public companies and private businesses at various stages of growth. Because no two companies are alike, our fee arrangements are tailored to reflect the scope of each engagement, the complexity of the capital markets strategy involved, and the outcomes our clients are working toward.
If you have a specific model in mind due to your unique situation, we are open to your thoughts. That being said, our preferred compensation model(s) allow for us to be compensated in cash for our time and expenses so that we can pay our bills and cover our costs, and also to receive equity so we participate in the long-term value we help create.
For ongoing advisory and consulting engagements, we typically work on a monthly cash retainer basis. This covers our time, strategic guidance, and hands-on involvement across areas such as capital structure planning, market positioning, SEC compliance coordination, capital raising introductions and investor communications.
Retainer amounts are determined based on the scope of work involved and anticipated duration of the engagement (typically for a one-year term), and all agreements are cancellable by either party after the first 90 days without cause.
When our work is tied directly to a capital raise or financing event, we often include a success-based component in our fee structure. While we cannot be paid a commission for "raising capital" as we are not registered broker-dealers, we can be paid bonuses or success fees for achieving certain milestones in this process.
This means a portion of our compensation is contingent on the successful completion of the transaction — aligning our incentives with your outcome.
Stock awareness campaigns are structured as defined-scope engagements with clearly outlined deliverables, timelines, and hard costs beyond our own expenses.
Campaign fees cover the design, execution, and management of multi-channel investor awareness programs tailored to your company's story and market position, as well as purchase of air-time for TV ads and impressions for Google banner Ads. We provide a detailed proposal and fee schedule before any campaign launches, so there are no surprises.
We seek to build equity participation into all of our advisory agreements.
This arrangement reflects our willingness to invest alongside our clients and share in the long-term upside of the companies we work with, as well as allows our clients to utilize their shares as currency and decrease their cash outlay for our fees.
Equity participation may take the form of common or preferred shares of the Company's stock, as well as warrants, and equity arrangements are always disclosed and documented in accordance with applicable securities regulations.
Every fee arrangement is documented in a written engagement agreement before any work begins. We do not charge hidden fees, and we do not bill for services outside the agreed scope without prior discussion and approval.
